StitchoMR Terms of Service
Published by Darwich Technologies LLC for StitchoMR (macOS 15 or later, Apple silicon; PES and DST export).
Effective date: October 30, 2026. Document set version: 2026-10-30-S15. These terms are an agreement between you and Darwich Technologies LLC ("we", "us"), the publisher of StitchoMR. Please read them; they explain what you can expect from us and what we expect from you.
1. What these terms cover
These terms govern your use of the StitchoMR website (https://stitchomr.com), your StitchoMR account, subscriptions, software downloads and licence checks (together, the "Services"). They work together with: the End User License Agreement (the licence to use the software), the Subscription and Auto-Renewal Terms, the Cancellation Policy, the Refund Policy, the Support and Compatibility Terms, and the Privacy Policy. If one of those documents is more specific than these terms about its subject, the more specific document controls for that subject.
2. The product
StitchoMR is desktop embroidery design software for Apple-silicon Macs running macOS 15 or later. The application exports PES and DST files; those are the only export formats it offers. We check each exported file by reading it back in the application. Drawing, digitizing and stitch generation run on your computer. The Services provide sign-in, subscription status, activated-computer management and software downloads. StitchoMR does not run on any other system.
3. Who may use the Services
You must be at least 18 years old (or the age of majority where you live) to buy a subscription. Where StitchoMR is offered. We offer StitchoMR worldwide, but only in the countries and territories where Link (Stripe Managed Payments) supports the purchase and where we may lawfully distribute the software. We do not promise that StitchoMR is available everywhere. Availability depends on the payment provider and on applicable law, including sanctions and export-control laws. Link does not sell to some locations, and a purchase may be declined or refused, or cancelled and refunded, where the payment provider cannot support it or the law does not allow it. Prices are stated in US dollars; any taxes and any conversion into your local currency are shown at checkout by Link, the merchant of record (see section 5), before you pay. The Services are not directed to children under 13, and we do not knowingly collect information from them. You confirm that you are not located in, and will not use the Services from, a place subject to a United States embargo or comprehensive sanctions, and that you are not on a United States restricted-party list.
Consumer laws where you live. If you live outside the United States, the mandatory consumer-protection laws of the country where you live may give you rights, for example a right to withdraw from an online purchase or rights where digital content does not work as described. Nothing in these documents takes away a right that those laws give you and do not allow to be excluded. To use such a right, ask for a refund as the Refund Policy describes.
4. Your account and activated computers
You sign in through a hosted identity service (Auth0) with an email address and password (and any other sign-in method the account page offers). Keep your credentials private; you are responsible for activity under your account. One account is for one person. Each account may have up to two activated computers for saving and export. A computer becomes activated when you sign in to the application on it. Your account page lists your activated computers. If you already have two, deactivate one on your account page before activating another. If you deactivate a computer from your account page, that computer's current identity stops working. To use it again, reinstall the application or reset the application's stored identity so that it registers a new one.
5. Subscriptions and payment
Paid access requires a subscription: Monthly, US$9.99 per month, plus applicable taxes where required. Only the Monthly plan is offered. The Monthly plan renews automatically until cancelled. Your purchase is sold through Link, the Stripe payment service that acts as merchant of record. "Merchant of record" means the company that takes your payment, is responsible for tax and collects applicable taxes, and issues receipts and invoices. This is the only place these terms define it; other documents refer back to this section. Darwich Technologies LLC publishes the software, grants the licence and provides product support. Details are in the Subscription and Auto-Renewal Terms, the Cancellation Policy and the Refund Policy. Link's terms (https://link.com/terms) also apply to the purchase. Your bank or card statement may show "LINK.COM* DARWICH TECH" (your bank may shorten or format it differently).
6. Your designs and files
You own your artwork, designs, photographs and the files you create or export with StitchoMR. They stay on your computer: the Services do not receive them, and we claim no licence to them. Use only artwork you own or have permission to use. We do not host user content. Software previews cannot guarantee how a design will stitch on every machine, fabric, stabilizer, thread or needle; test before production use. Raised Satin and 3D Puff Satin are experimental and have not been physically tested on a sewing machine.
7. Acceptable use
Do not: share your account or exceed the limit of two activated computers for saving and export; circumvent, tamper with or interfere with licence checks or download protections of the Services or of StitchoMR's proprietary code (this does not restrict any right you have under the licence of an open-source component; see End User License Agreement, section 5); use the Services unlawfully or to harm others; overload or probe the Services (including excessive automated requests); resell or redistribute the StitchoMR software (the open-source components in it may be redistributed as their own licences allow); or violate the End User License Agreement.
8. Licence checks, billing hold, suspension and ending access
Saving and export in the application depend on your subscription status. They are unavailable when there is no active subscription, when we have paused billing on your subscription, and while your account is on billing hold. The End User License Agreement lists exactly what stops.
Billing hold. A billing hold applies only (a) while a payment dispute or chargeback on your account is open, (b) after a dispute has been decided against you, and (c) if we find, after review, that a payment was made without the account holder's permission. While a billing hold applies, saving and export are off, and you cannot start a new subscription. Your files stay on your computer, and you can still cancel at any time. A refund you ask for never causes a billing hold; a full refund of the charge for your current billing period simply ends the subscription. When a dispute is decided in your favour or withdrawn, the hold that the dispute caused is lifted automatically if nothing else is open on your account. A hold after a dispute decided against you, or one set after our review of a payment made without permission, is lifted only after we review it manually. To ask about a hold, write to support@stitchomr.com. A hold ends as described here and in the Refund Policy, section 4.
Paused billing. While billing is paused, access to saving and export stops. If we pause billing for a reason other than a payment problem or your breach of these terms, the remedy in the Refund Policy for access we end early applies.
Suspension. We may suspend or end your access for serious or repeated breach of these terms or for abuse that threatens the Services. Where practicable, we will tell you why and give you a chance to respond. Suspension for breach does not take back the access you already had. If we suspend or end your access before the end of a paid period by mistake, because of our own breach or error, or for any reason other than your breach (including if we stop offering StitchoMR or close the Services), we will refund the unused part of that billing period, pro rata. The same applies if we fail to provide the saving and export access you paid for because of our own error.
9. Ending the relationship
You may stop using the Services at any time. To stop paying, cancel your subscription (see the Cancellation Policy). To close your account, email support@stitchomr.com from your account email; we handle closure as described in the Privacy Policy. Closing an account does not by itself refund payments, and your access to saving and export ends when the account is closed. To keep access to the end of a paid period, cancel the subscription first and close the account afterwards. Refunds are available only as the Refund Policy states.
10. Electronic records and notices
You agree that we may give you notices, receipts and other records electronically, by email to your account address and on your account page. Please read this carefully before you agree.
- What you need. An Apple-silicon Mac with macOS 15 or later, a web browser, an email account you can read, and software that opens PDF and web pages.
- Paper copies. You may ask us for a paper copy of any record. We do not charge a fee for it. Email support@stitchomr.com.
- Keeping your email current. To update the email address we use, change it through your sign-in account or email support@stitchomr.com from your old address.
- Withdrawing consent. You may withdraw this consent at any time by emailing support@stitchomr.com to close your account. Withdrawal does not affect records we already gave you. If you withdraw, we may not be able to continue the Services, because we can only give subscription notices electronically.
- How you show you can read these records. When you create your account you verify your email address, and at checkout, by ticking Box 2, you confirm that you can read these documents and emails on your computer. We record that confirmation with your consent.
- Hardware and software changes. If a change to the hardware or software you need creates a material risk of you being unable to read the records we send, you may withdraw your consent without charge by emailing support@stitchomr.com.
11. Support
Customer support is by email at support@stitchomr.com on a best-effort basis. See the Support and Compatibility Terms. We make no response-time commitment. Payment, tax, receipt and refund-processing questions can also go to Link (see section 5).
12. Our rights
We own StitchoMR, its software and its trademarks; the End User License Agreement gives you a licence to use the software but no ownership of it. "macOS", "Apple" and "Apple silicon" are trademarks of Apple Inc.; "PES" and "DST" are file-format names used descriptively. StitchoMR is not affiliated with or endorsed by Apple, Brother or any machine manufacturer. If you send us suggestions, we may use them without obligation to you.
13. Disclaimers
THE SERVICES AND THE SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES NOT EXPRESSLY STATED IN THESE DOCUMENTS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT ANY DESIGN WILL STITCH AS PREVIEWED ON YOUR MACHINE OR MATERIAL. Some states and countries do not allow these limits, so they may not apply to you. Nothing in these terms limits any warranty or right that the law gives you and does not allow to be limited.
14. Limit on our liability
TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST DATA OR LOST BUSINESS, ARISING FROM YOUR USE OF THE SERVICES OR THE SOFTWARE, INCLUDING DAMAGE TO FABRIC, THREAD, GARMENTS OR MACHINES. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID FOR STITCHOMR IN THE 12 MONTHS BEFORE THE CLAIM. These limits do not apply to liability for death or personal injury caused by our negligence, for fraud or wilful misconduct, for refunds we owe under our own policies, or to anything the law does not allow us to limit.
15. Governing law and disputes
These terms are governed by the laws of the State of Ohio and applicable United States federal law, except that the consumer-protection laws of the state or country where you live still apply to you where they cannot be waived. We prefer to resolve concerns directly: email support@stitchomr.com and we will respond. You may bring a claim in small-claims court where you live. Other claims relating to these terms will be brought in the state or federal courts located in Summit County, Ohio, unless the law lets you bring them in the courts of the place where you live. These terms do not include a mandatory arbitration clause or class-action waiver. Link's own terms govern your dealings with Link.
16. Changes
We may change these terms and will post the changed terms with a new effective date. A change to the price or renewal terms does not apply to a billing period you have already paid for. If you do not accept a change, you can cancel at any time; cancellation takes effect at the end of the paid period. We will follow the notice and consent requirements that apply to a change by law and under Link's rules before the change applies to you. We make no further commitment about the method or timing of any such notice.
17. General
These documents are the entire agreement between us about the Services. If a part is unenforceable, the rest stays in effect. Not enforcing a term is not a waiver of it. We are not liable for delays caused by events beyond our reasonable control. You may not transfer your rights without our consent; we may transfer ours as part of a business sale or reorganization. You must comply with United States export and sanctions laws and with those that apply where you are.
