StitchoMR End User License Agreement
Published by Darwich Technologies LLC for StitchoMR (macOS 15 or later, Apple silicon; PES and DST export).
Effective date: October 30, 2026. Document set version: 2026-10-30-S15. This is a licence between you and Darwich Technologies LLC ("we", "us") for the StitchoMR application ("the Software"). It works with the Terms of Service and the Subscription and Auto-Renewal Terms.
1. Licence
We grant you a limited, non-exclusive, non-transferable licence to install and use the Software on Apple-silicon Macs running macOS 15 or later for your own embroidery design work. Opening, viewing, editing and previewing designs do not need a subscription and are not limited to a number of computers. Saving and export are available only while you have an active subscription (or a grace period under section 3), and only on up to two computers that are activated on your account. The Software is licensed, not sold. This agreement does not limit your rights in the Open Source Components (section 5). We may end the licence only as described in section 10.
2. Personal and commercial use
You may use the Software for personal projects and for your own small-business work, and you may use the designs and files you create commercially (for example, to stitch items you sell). Subject to section 5, you may not make the StitchoMR Proprietary Materials available to others, share your account, or use one account for several people.
3. How licence checks work
A licence check is how the Software asks our licensing service whether your subscription currently allows saving and export.
- When the Software checks. It checks when it starts, about every 5 minutes while it is open, and when you press Refresh. Each check also reaches our sign-in provider (Auth0) and our licensing service.
- What a check gives you. When the answer is yes, the Software receives a signed licence token. It is stored on your Mac. A token is valid for at most 72 hours and never beyond the end of your paid period (or the grace period below).
- A "no" answer. After you fix a payment problem, press Refresh (in the application, Help > StitchoMR Account…, then the button "Refresh account") or wait about 5 minutes; the Software asks again at its next scheduled check.
- Working offline. A valid token lets you keep saving and exporting without internet for up to 72 hours. If you restart your computer, the Software needs one online check before it will save or export again. If you are offline longer than 72 hours, saving and export pause until you reconnect. Your files are not affected. In short, the Software needs internet at least once every 3 days.
- When saving and export stop. If your subscription ends, a billing hold starts, we pause billing, or a computer is deactivated, saving and export stop on that computer within about 5 minutes while it is online. While it is offline they stop when its current token runs out, which is within 72 hours at most.
- Failed payments. If a renewal payment fails, saving and export continue for up to 72 hours after the end of the billing period you paid for.
- What counts as saving and export. Without an active subscription the Software does not: save project files; export PES or DST files; save to the design library; copy, cut or duplicate designs or use "Copy geometry"; or make autosave and recovery snapshots. When you close a design that has unsaved changes, it tells you the changes cannot be saved.
- What still works. You can open files and view, edit and preview designs without an active subscription. The files you created and exported are yours and stay on your computer; the licensing service does not receive them.
- Deactivating a computer. When you deactivate a computer on your account page, the change applies to new checks right away. That computer's current identity stops working. To use that computer again, reinstall the Software or reset its stored identity so that it registers a new one. Your account page lists your activated computers.
4. What you may not do
Subject to section 5, you may not do any of the following with StitchoMR's proprietary code, licence-check and account code, artwork, design-library content, documentation and trademarks (together, the "StitchoMR Proprietary Materials"): copy them except for ordinary backups and installation; modify them or create derivative works; sublicense, sell, rent, lend or distribute them; remove our notices; bypass, tamper with or interfere with licence checks or the limit of two activated computers for saving and export; or use them to build a competing product. You may not reverse engineer, decompile or disassemble the StitchoMR Proprietary Materials except (a) to the extent the law allows despite this restriction, and (b) as section 5 permits. This section does not apply to the Open Source Components described in section 5.
5. Open-source components
What they are. The Software includes third-party components that we receive under open-source or other third-party licences, including Qt, PySide6 and Shiboken6 (GNU Lesser General Public License v3), GEOS (GNU Lesser General Public License v2.1), Python (Python Software Foundation License), and components under the MIT, BSD, Apache 2.0 and similar licences (the "Open Source Components"). The notice and licence text for each Open Source Component is in the Software's third-party licences folder (in the application bundle: Contents/Resources/third_party_licenses) and at https://stitchomr.com/open-source.
Their licences govern them. Each Open Source Component is licensed to you under its own licence, not under this agreement. If this agreement conflicts with the licence of an Open Source Component, that licence controls for that component. Nothing in this agreement, the Terms of Service or any other document of ours restricts any right those licences give you, including the right to use, copy, modify and redistribute an Open Source Component, to run the Software with a modified version of an Open Source Component, and, for components under the GNU Lesser General Public License, to modify them for your own use, to replace and relink them, and to reverse engineer the Software as needed to debug such modifications.
Source code and replacement. For each Open Source Component under the GNU Lesser General Public License we make the corresponding source code available at https://stitchomr.com/open-source, and on written request to support@stitchomr.com or by post to Darwich Technologies LLC, 4014 Medina Road #1159, Akron, OH 44333, United States. We keep it available for as long as the version you hold can be downloaded from us and for at least three years after we last distribute that version. Instructions for replacing those components in your copy of the Software are available at the same address.
Our own code stays ours. The StitchoMR Proprietary Materials, including the licence check, the sign-in and entitlement code, and the design-library artwork, are not Open Source Components. They remain our property and are licensed to you only under this agreement. The restrictions in section 4 on bypassing, tampering with or interfering with licence checks apply to StitchoMR Proprietary Materials only. Modifying or replacing an Open Source Component in the way its licence allows is not a breach of this agreement and is not a bypass of the licence checks. We are not required to support a copy of the Software in which an Open Source Component has been replaced, and we do not warrant that such a copy will work.
6. Ownership
Except for the Open Source Components, we and our licensors own the Software, including its code, artwork and trademarks. This agreement gives you a licence to use it, not ownership. If you send us suggestions, we may use them without obligation to you.
7. Your designs and files
You own the designs, artwork, photographs and files you create, import or export. We claim no licence to them; they are not uploaded to us. You are responsible for having the right to use any artwork you import.
8. Supported formats
The Software's supported export formats are PES and DST, and those are the only export formats it offers. We check each exported file by reading it back in the Software.
9. Updates and support
New versions are made available on your account page; the Software does not update itself. We may stop supporting an older macOS version or an older version of the Software with reasonable notice. Support is described in the Support and Compatibility Terms.
10. Ending the licence
The licence ends when your subscription ends (after any grace period), when your account is closed, or if you materially breach this agreement or the Terms of Service and do not fix it within a reasonable time after we notify you (immediately for circumvention of licence checks). When it ends you must stop using the Software's saving and export functions and may delete the Software. You keep every file you created or exported. Ending this licence does not end the rights you have under the licences of the Open Source Components.
11. Disclaimer
THE SOFTWARE IS PROVIDED "AS IS". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES NOT EXPRESSLY STATED HERE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT ANY DESIGN WILL STITCH AS PREVIEWED ON YOUR MACHINE, HOOP, FABRIC, STABILIZER, THREAD OR NEEDLE. Experimental features (including Raised Satin and 3D Puff Satin) have not been physically tested on a sewing machine. Nothing here limits a warranty or right that the law gives you and does not allow to be limited.
12. Limit on liability
The limits in the Terms of Service apply to the Software.
13. Export and government users
You must comply with United States export and sanctions laws, and with those that apply where you are, and may not use the Software in a place subject to a United States embargo or comprehensive sanctions. The Software is commercial computer software; use by the United States government is subject to this agreement.
14. Governing law
Section 15 of the Terms of Service governs this agreement.
